Summary:

 

The Deputy General Counsel (DGC) is a senior level legal professional who serves as the second-in-command to a General Counsel or Chief Legal Officer. The DGC is responsible for providing legal advice, guidance, and support to the organization on a wide range of legal matters. This includes contract review and negotiation, compliance with laws and regulations, and risk management. The DGC is also responsible for managing a team of legal professionals, including in-house counsel and outside counsel. They work closely with other departments and stakeholders within the organization, such as finance, human resources, and operations, to ensure that the company's legal interests are protected and that it is operating in compliance with all relevant laws and regulations. In addition to these responsibilities, the DGC may also be involved in strategic planning and decision-making at the highest levels of the organization. They may also serve as a liaison between the organization and outside legal counsel and may be called upon to represent the company in legal proceedings.

 

 

 

Primary Responsibilities:

 

The Deputy General Counsel is responsible for providing legal advice, guidance, and support to the organization on a wide range of legal matters. This includes contract review and negotiation, compliance with laws and regulations, and risk management. The DGC will manage a team of legal professionals, including in-house counsel and outside counsel. The DGC will work closely with other departments and stakeholders within the organization to ensure that the company's legal interests are protected and that it is operating in compliance with all relevant laws and regulations. DGC's may also be involved in strategic planning and decision-making at the highest levels of the organization and may serve as a liaison between the organization and outside legal counsel.

 

Duties to include but not limited to:

 

  •  Provide legal advice and support to senior management and departments
  •  Draft, review, and negotiate contracts and agreements
  •  Oversee and manage litigation, arbitration, and dispute resolution processes
  •  Ensure compliance with federal, state, and local laws and regulations
  •  Manage corporate governance and compliance programs
  •  Supervise and mentor junior attorneys and legal staff
  •  Develop and implement legal strategies to minimize risk
  •  Collaborate with external counsel and regulatory bodies
  •  Conduct legal research and analysis to support decision-making
  •  Assist in the preparation of legal documents, policies, and procedures
  •  Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights;
  •  Manage any litigation claims for and against the Company;
  •  Provide support on corporate financing (debt and equity) and M&A activities, including due diligence and post-closing integration;
  •  Support corporate governance, compliance, and best practices;
  •  Understand the intricacies of the Company’s business model and strategic objectives and how they should be represented in strategic transactions and vendor contracts;
  •  Research and evaluate different risk factors regarding business decisions and operations;
  •  Apply effective risk management techniques and offer proactive advice on possible legal issues;
  •  Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust;
  •  Deal with complex matters with multiple stakeholders and forces;
  •  Provide clarification on legal language or specifications to everyone in the organization;

Skills And Qualifications

  •  6+ years of experience as a Legal Counsel in a business environment
  •  Experience in Commercial Contracts
  •  Experience in construction and/or Renewables or Energy
  •  Litigation Experience
  •  Excellent knowledge and understanding of corporate law and procedures;
  •  Demonstrated ability to create legal defensive or proactive strategies;
  •  High degree of professional ethics and integrity;
  •  Sound judgment and ability to analyze situations and information;
  •  Ability to work within and leverage cross-functional teams and be persuasive up, down, and across the organization;
  •  Ability to work proactively, collaboratively, and persuasively with internal and external clients to solve problems while protecting company interests;
  •  Experience with mergers and acquisitions
  •  Familiarity with industry-specific regulations
  •  Strong background in corporate governance
  •  Proven track record of managing complex litigation
  •  Excellent negotiation skills
  •  Demonstrated leadership abilities
  •  Strong analytical and problem-solving skills
  •  Juris Doctor (JD) degree from an accredited law school
  •  Active member in good standing with the state bar
  •  In-depth knowledge of corporate law and regulatory compliance
  •  Excellent written and verbal communication skills
  •  Ability to manage multiple projects simultaneously
  •  Strong organizational and time-management skills
  •  Proficiency in legal research tools and software
  •  Experience in Commercial Contracts

  •  Proficient computer skills including Microsoft Outlook, Word, & Excel
  •  Strong verbal, written, computer communication, presentation and organization skills
  •  Ability to interact positively and effectively in a team environment

Basic Qualifications

 

  •  Juris Doctorate
  •  Member in good standing of a state bar
  •  Valid Drivers' License issued by state of residence and in good standing Physical Demands
  •  Office environment including sitting for prolonged periods, lifting up to 50 Lbs.
  •  Ability to walk over uneven terrain
  •  Some travel required
